Dr. Philipp Gantenberg is a partner at HUPE | GANTENBERG in the area of Corporate Law/M&A/Private Equity and is head of the firm’s Italian Desk.
He represents national and international companies, family offices and private equity companies in the area of M&A as well as in all areas of corporate law.
His practice focuses on the legal support and conceptualization of transactions in the form of share and asset deals as well as the negotiation and drafting of transaction documents, i.e. purchase agreements, shareholders’ agreements, security agreements, etc. In addition to his extensive expertise in mergers and acquisitions, Dr. Philipp Gantenberg advises companies, in particular German subsidiaries of international groups, on all aspects of corporatel. A further focus of his work is German-Italian legal relations. He advises Italian companies, in particular in their role as shareholders of German subsidiaries, as well as on cross-border commercial and corporate law.
Dr. Philipp Gantenberg has been repeatedly recognized for his expertise in corporate law and M&A by various newspapers and magazines, including Wirtschaftswoche, Handelsblatt and brandeins, as well as by the Best Lawyers platform as a leading lawyer in Germany.

- Disinvestment of an Italian listed company from its German subsidiary, management buy-out;
- Buy-side: Advising a Private Equity Fund on various company acquisitions
- Advising a brewery on the integration of a strategic investor
- Refinancing of a solar park in Italy by German banks and support for the integration of two family offices as investors
- Sell-side: Sale of a stake in a nursing service by way of a bidding process
- Sell-side: Sale of a stake in a contract manufacturer in the cosmetics sector, entry of a private equity fund
- Buy-side: Acquisition of several solar parks by a project developer
- Advice on the acquisition and structuring of various solar parks at different stages of development
