Shiwa Nassary is a senior associate in the areas of Energy Law, Real Estate Law, and M&A.
She advises national and international clients on corporate transactions – particularly those related to energy and real estate law –, on legal issues involving mergers and acquisitions, and on matters of energy law.
A key focus of her practice is providing legal support for large-scale photovoltaic and battery storage projects throughout all project phases, particularly in connection with property security, project development, transactions, and implementation. She advises on energy law issues related to the German Renewable Energy Sources Act (EEG) and the German Energy Industry Act (EnWG), grid connections, battery storage, tendering procedures, charging infrastructure, and various marketing models.
In the area of property security, she drafts and negotiates, particularly, land use and purchase agreements, easements, and other security instruments under real property law. In addition, she prepares legal due diligence reports for solar and energy storage projects at various stages of development, typically in the double- to triple-digit megawatt range. Her advisory services also include, among other things, drafting and negotiating transaction documentation, project development agreements, power purchase agreements, grid connection agreements, and other project implementation and operating agreements.
Another focus of her practice is real estate law. In this field, she advises clients in particular on real estate transactions, commercial tenancy law, and complex real estate law issues. She also represents clients in real estate disputes, both in and out of court. Her clients include private investors as well as public contracting authorities.
Shiwa Nassary is a member of the German Solar Association (BSW).

- Providing legal assistance to an established operator of renewable energy facilities in connection with the acquisition of a Germany-wide portfolio of solar and battery storage projects ranging from the double-digit to triple-digit megawatt range, including comprehensive legal due diligence, property security, and the drafting and negotiation of project and transaction documentation
- Ongoing advice on energy law for a provider of comprehensive solutions in the field of renewable energy in Germany and Italy
- Development and legal support for an energy and charging infrastructure concept for the construction of solar carports on the premises of a logistics company, including advice on German Renewable Energy Sources Act (EEG) subsidies, tendering procedures, power supply, and charging infrastructure
- Ongoing advising of project developers and investors on the development and marketing of renewable energy projects and the structural development of several new solar parks
- Comprehensive legal support for an asset deal involving the acquisition of a hotel and medical center complex, including legal due diligence as well as contract drafting and negotiation
- Drafting and negotiating real estate purchase agreements for an Italian food and beverage manufacturer and distributor
- Drafting of various commercial tenancy agreements for an Austrian group of companies
- Providing real estate law advice to public contracting authorities on the implementation of educational projects
